Private company (Pvt. Ltd.)

  • The number of shareholders cannot exceed 101. The number of directors should be limited from 3 to 11 in accordance with the Companies Act 2006.
  • The shares of a private company cannot be traded publicly on a stock exchange.

Public company

These are companies raising funds from the general public through bonds, shares and/or debentures. These companies are publicly traded at the Stock Exchange. The minimum capital requirement for such companies is NPR 1 Crore.

  • The shares can be publicly traded in the stock exchange.
  • Requires at least 7 shareholders.
  • A public company may be re-converted into a private company if the number of shareholders becomes less than 7, or if the company fails to maintain paid-up capital of NPR 1 Crore. (For shares to be freely traded, listing on the national stock exchange is required by authorization of the National Securities Board of Nepal.)

A not-for-profit company operates for social, educational or other charitable causes without the objective to provide profits to owners or shareholders — in other words, non-profit social or charitable organizations.
